Terms of Service

These Terms apply to all services operated by the canopy corporation, including the Canopy Platform, Cortex AI infrastructure, and Symphony. Please read them carefully.

1. Who we are & scope

These Terms of Service ("Terms") govern your use of all services operated by the canopy corporation ("Canopy", "we", "us"), including:

  • Canopy Host: cloud deploy infrastructure
  • Cortex: AI infrastructure SaaS — knowledge bases, assistants, fine-tuning, API
  • Symphony: AI-powered ticket inbox built on Cortex
  • Any associated APIs, CLIs, SDKs, MCP servers, and documentation

By accessing or using any of the above ("Services"), you agree to these Terms.

2. Acceptable use

You may not use our Services to:

  • Generate content that is illegal, harmful, abusive, or violates third-party intellectual property rights.
  • Attempt to reverse-engineer, scrape, overload, or circumvent rate limits on any Service.
  • Resell or sublicense API access without a written reseller agreement with Canopy.
  • Store sensitive personal data (health records, payment card numbers, government IDs) in knowledge bases without appropriate consent and a compliant deployment.
  • Use the Services to build a product that directly competes with Canopy or Cortex without prior written approval.
  • Introduce malware, conduct phishing, or engage in any fraudulent activity.

3. Accounts & API keys

You are responsible for maintaining the security of your account credentials and API keys. Treat them as passwords. Notify us immediately at security@canopy.pm if you suspect unauthorised access.

We may suspend or terminate accounts that violate these Terms, show signs of compromise, or are used in a manner that endangers the platform or other users.

4. Plans & billing

Services are offered on subscription plans (including a free tier where available). Billing is handled by Stripe. Subscriptions renew automatically unless cancelled before renewal.

  • Downgrading does not result in a refund for the current billing period.
  • Accounts that exceed plan limits may be rate-limited or suspended.
  • Failed payments give a 14-day grace period before access is suspended.
  • Enterprise agreements are governed by their own order form.

5. Your data & content

You retain full ownership of all content you upload or generate through the Services — including documents, training datasets, conversation history, and fine-tuned adapters ("Your Content").

You grant Canopy a limited, non-exclusive licence to process, store, and transmit Your Content solely to provide the Services for you. We do not use Your Content to train shared or public models without your explicit written consent. We do not sell Your Content to third parties.

6. Data isolation & security

Each customer's resources — documents, embeddings, training data, adapters, conversations, API keys, and billing — are isolated at the project level. Cross-customer access is a P0 security violation and is architecturally prevented.

We follow OWASP security guidelines, encrypt data in transit (TLS 1.2+) and at rest, and conduct regular security reviews. If you discover a vulnerability, please disclose it responsibly to security@canopy.pm.

7. Service availability

We target 99.5% monthly uptime for the Cortex API and Canopy Platform. Scheduled maintenance will be announced at least 24 hours in advance.

We are not liable for downtime caused by force majeure events or third-party providers.

8. Intellectual property

Canopy, Cortex, Symphony, and their respective logos and product names are trademarks of the canopy corporation. You may not use our trademarks without prior written permission.

9. Limitation of liability

The Services are provided "as is" without warranty of any kind. To the maximum extent permitted by applicable law, Canopy's total cumulative liability for any claims is limited to the greater of (a) the fees you paid in the three months preceding the claim, or (b) €100.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.

10. Termination

Either party may terminate at any time. You may cancel your subscription through the dashboard or by emailing support@canopy.pm.

On termination, Your Content will be deleted within 30 days. You may export your data at any time using the dashboard's export tools.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance by email or in-app notification.

12. Governing law & disputes

These Terms are governed by the laws of the Netherlands. Any disputes will be resolved exclusively in the courts of Amsterdam, Netherlands.

If you are a consumer in the EU, mandatory consumer protection laws of your country of residence continue to apply.
